Key Responsibilities

 

We are seeking a highly skilled and motivated Company Secretary with majors in Finance and Government Relations to join our team. The ideal candidate will be responsible for ensuring that the company complies with all legal and regulatory requirements, particularly in relation to finance and government policies. They will act as a liaison between the company, its board of directors, shareholders, regulatory authorities, and government agencies.

 

Responsibilities:

  • Legal and Statutory Compliance:
  • Ensure compliance with all applicable laws, regulations, and corporate governance principles related to finance and government relations.
  • Stay updated on changes in relevant laws and regulations and communicate implications to the management team.
  • Advise the board of directors on legal and regulatory matters pertaining to finance and government relations.
  • Corporate Governance:
  • Organize and attend board meetings, including preparing agendas, taking minutes, and ensuring follow-up on action items.
  • Facilitate communication between the board, management, shareholders, and other stakeholders.
  • Oversee the company's corporate governance framework and recommend improvements where necessary.
  • Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • Financial Compliance:
  • Work closely with the finance team to ensure compliance with financial regulations and reporting requirements.
  • Provide legal, financial, and/or strategic advice during and outside of meetings.
  • Assist in the preparation and filing of financial reports, including annual reports, tax returns, and other regulatory filings.
  • Conduct internal audits to ensure financial processes are in line with regulatory standards.
  • Government Relations:
  • Develop and maintain positive relationships with government officials, regulators, and relevant industry bodies.
  • Monitor government policies and regulations that may impact the company's operations or financial activities.
  • Represent the company in discussions with government agencies and participate in industry-related forums or committees.
  • Risk Management:
  • Identify legal and regulatory risks related to finance and government relations and develop strategies to mitigate them.
  • Collaborate with other departments to implement risk management policies and procedures.
  • Liaise with external regulators and advisers such as lawyers and auditors.

Qualifications

 

  • Qualified CS or CA, Law Graduate is preferred.
  • Min 12 years’ experience in similar capacity
  • Proven experience as a Company Secretary, preferably in a finance-related industry or with exposure to government relations.
  • In-depth knowledge of corporate governance principles, financial regulations, and government policies, Companies Act, Contract Act, Industrial Disputes Act, Insolvency Code, Stamp Act, Registration Act, etc.
  • Ability to research on the matters as per the business.
  • Excellent analytical skills to analyse and opine on various statutory provisions.
  • Excellent client servicing skills and strong problem-solving skills
  • Meticulous, organized, detailed and deadline-oriented
